Welcome to SowYummy! These Terms of Use (“Terms”) govern your access to and use of the SowYummy mobile application (“App”) and its associated services (“Services”), which are designed to complement the use of the MicroFarm microgreen growing appliance (“Product”). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms

By creating an account or otherwise using the App, you confirm that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and have the legal authority to enter into these Terms. If you are using the App on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

The App is available for use only in Canada and the United States. By using the App, you confirm that you are accessing it from one of these countries.

2. Services Provided

The App provides features and functionalities designed to enhance your experience with the Product, including but not limited to:

• Scheduling grow cycles for microgreens and micro herbs.
• Sending push and in-app notifications for tasks related to your grow cycle.
• Offering step-by-step guidance to optimize the growing process.
• Redirecting users to our external e-commerce store to browse and purchase additional products.

The Services are intended for personal, non-commercial use unless explicitly stated otherwise.

3. Account Registration and Security

To access certain features of the App, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your login credentials secure and confidential.
• Notify us immediately of any unauthorized use of your account or other security breaches.

You are solely responsible for all activities that occur under your account.

4. Use of the App

You agree to use the App only for lawful purposes and in compliance with these Terms. You agree not to:

• Reverse engineer, decompile, or disassemble any part of the App.
• Interfere with or disrupt the operation of the App or the servers hosting it.
• Use the App for any illegal, fraudulent, or harmful activities.

5. Intellectual Property

All intellectual property rights in the App, Services, and related content, including but not limited to text, graphics, software, and trademarks, are owned by SowYummy Systems Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the App solely for its intended purpose. Any unauthorized use of the App or its content may violate copyright, trademark, and other laws.

6. Third-Party Services

The App may include links to or integrate with third-party services or content. SowYummy Systems Inc. is not responsible for the availability, accuracy, or practices of these third parties. Your use of third-party services is subject to their terms and policies.

7. Privacy and Data Deletion

Your use of the App is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the App, you consent to the data practices described in the Privacy Policy.

Account Closure and Data Deletion

You may request the deletion of your personal information only if your account is closed. Non-personally identifiable information may be retained by SowYummy Systems Inc. in accordance with applicable regulations in Canada and the United States.

8. Limitation of Liability

To the maximum extent permitted by law, SowYummy Systems Inc. and its affiliates will not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of data, revenue, or profits, arising out of or related to your use of the App or Product. Our total liability for any claim arising under these Terms will not exceed the amount you paid, if any, for accessing the App.

9. Disclaimer of Warranties

The App and Services are provided “as is” and “as available” without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Termination

We may suspend or terminate your access to the App at any time without prior notice if you violate these Terms or if we discontinue the App. Upon termination, your right to use the App will immediately cease.

11. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of any significant changes by posting the revised Terms in the App or by other means. Your continued use of the App after such changes constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved exclusively in the courts of British Columbia, Canada.
